Companies (Miscellaneous Provisions) (Covid-19) Act 2020 – Extended to 31st December 2022
The following temporary provisions of the Companies (Miscellaneous Provisions) (Covid-19) Act 2020 have been extended until 31st December 2022;
- Virtual general meetings to continue. This allows companies to hold AGM’s, general meetings, and creditors meetings wholly or partly using electronic means. There is no need for a physical venue provided that all attendees have a reasonable opportunity to participate in the meeting.
- The threshold at which a company is deemed unable to pay its debts remains at €50,000. One or more creditors must be owed a total debt of at least €50,000 in order to petition the High Court to wind up a company.
- The period of protection afforded to a company in examinership is to remain at 150 days.
- Documents executed under seal may be executed in counterpart.
