Companies (Miscellaneous Provisions) (Covid-19) Act 2020 – Extended to 31st December 2022

The following temporary provisions of the Companies (Miscellaneous Provisions) (Covid-19) Act 2020 have been extended until 31st December 2022  
  1. Virtual general meetings to continue. This allows companies to hold AGM’s, general meetings, and creditors meetings wholly or partly using electronic means. There is no need for a physical venue provided that all attendees have a reasonable opportunity to participate in the meeting.
  2. The threshold at which a company is deemed unable to pay its debts remains at €50,000. One or more creditors must be owed a total debt of at least €50,000 in order to petition the High Court to wind up a company.
  3. The period of protection afforded to a company in examinership is to remain at 150 days.
  4. Documents executed under seal may be executed in counterpart.
